In knitted fabric sales contracts, the most common trap exploited by buyers is the clause stating “weight ±10%, width ±10%”. This seemingly fair tolerance provision often becomes a buyer’s legitimate excuse to demand price reductions or even reject entire shipments.

Consider a real case from court records. In 2022, a Shandong home textile company purchased 300 kilograms of jacquard backing fabric from a Jiangsu mill. The contract specified a weight of 180 grams per square meter with a ±10% tolerance. After receiving the goods, the buyer took a one-meter sample from the entire batch for testing. The result showed a weight of 165 grams per square meter, approximately 8.3% below the target. The buyer rejected the entire shipment and demanded liquidated damages plus freight costs. The court ruled that without agreed sampling methods or acceptance standards—whether based on per-meter or batch average—the buyer was entitled to reject the goods.

This case exposes a core problem: a tolerance clause without kit testing methods effectively gives the buyer the right to sample at will. A buyer can search for the worst sample in an entire batch and use that single sample to reject everything. Court records show that sellers lose over 60% of such disputes.

So how should sellers revise this clause? Here is a four-layer solution.

Layer one: specify the assessment unit. Revise “weight ±10%” to “batch average weight assessment, with a per-meter tolerance not exceeding 15%.” This provides reasonable production flexibility while preventing the buyer from using an extreme sample to reject the entire batch.

Layer two: specify sampling methods. Add the following wording: “Three rolls shall be randomly selected from each batch. Three meters shall be taken from each roll, totaling nine meters. The average weight of these nine meters shall be the assessment basis for the batch.” The more specific the sampling method, the less room for buyer manipulation.

Layer three: pre-shipment sealed samples. Before shipment, both parties jointly seal samples, sign and stamp them, and take photographs. The contract should state: “Acceptance is based on the pre-shipment sealed samples. If actual goods do not match the sealed samples, the buyer may reject them; otherwise, the goods are deemed acceptable.”

Layer four: add a per-meter tolerance provision. Include wording such as: “Per-meter weight deviation up to 15% is permitted. If per-meter deviation exceeds 15% but the batch average remains within tolerance, the payment for that roll shall be proportionally reduced, but the entire batch shall not be rejected.”

Beyond these four layers, there is an even more advanced approach: link the tolerance clause to a price adjustment mechanism. For example: for every 1% the batch average weight falls below target, the unit price decreases by 1%; for every 1% above target, the unit price increases by 0.5%. Under this structure, the buyer has no incentive to find faults, because deviations are already compensated through price adjustments.

In summary, tolerance clauses for weight and width are permissible. But they must specify how to test, how much to test, and what standard applies. A tolerance clause without methodology is a weapon handed to the other side.

第二层,约定抽样方法。写入以下文字:“每批货物随机抽取3卷,每卷取3米,共9米样品,计算克重平均值作为该批次考核依据。”抽样方法写得越具体,买方做手脚的空间就越小。

第三层,封样前置。在发货前,双方共同对样品进行封样,签字盖章并拍照留存。合同中写明:“以发货前双方封样为准,封样与实物不一致时,买方有权拒收;否则视为合格。”

第四层,增加单米容忍条款。可以写入:“单米克重允许偏差不超过15%,超过此范围但批次平均合格的,按比例扣减该卷货款,不得拒收整批。”

除了这四层,还有一个更高阶的思路:将浮动条款与价格调整机制挂钩。比如约定:批次平均克重每偏低1%,单价下调1%;每偏高1%,单价上调0.5%。这样买方就没有动力去挑刺,因为偏差本身已经通过价格得到了补偿。

总结一下,克重门幅条款不是不能写浮动,而是必须写清楚“怎么测、测多少、以什么为准”。没有方法的浮动,就是送给对方的一把刀。
